Terms of Service

1. Acceptance of Terms

By accessing or using FNDM ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Age Requirement: You must be at least 13 years of age to use this Service. By creating an account, you represent and warrant that you are at least 13 years old. If you are between 13 and 18 years of age, you represent that you have your parent or guardian's permission to use the Service. We reserve the right to request age verification at any time and may terminate accounts that do not meet age requirements.

2. Description of Service

FNDM is an airport entertainment platform that provides:

• Interactive games and trivia while waiting for flights
• A seat lottery system for entertainment purposes
• A points and rewards system
• Flight check-in features for game participation
• Leaderboards and competitive features

The Service is designed for entertainment purposes only and is not affiliated with any airline, airport, or aviation authority.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain only one account per person
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Boarding Pass Verification

To participate in flight-specific games and the seat lottery, you must verify your boarding pass for your current flight. By verifying your boarding pass, you:

• Confirm that you are a ticketed passenger on the indicated flight
• Grant FNDM permission to extract and store basic flight details (flight number, date, seat, route)
• Understand that your boarding pass image is processed only for verification and is not retained

FNDM reserves the right to verify the authenticity of boarding passes and may restrict access to users who attempt to use fraudulent or manipulated documents.

5. Points & Rewards

FNDM Points are earned through gameplay and participation. Regarding points:

• Points currently have no cash value and cannot be redeemed for cash
• Points may be converted to $FNDM tokens in the future, but this is not guaranteed
• We reserve the right to modify, adjust, or reset the points system at any time
• Points are non-transferable between accounts
• Fraudulently obtained points may be revoked without notice

6. $FNDM Token (Future)

We may introduce a $FNDM token in the future. If and when introduced:

• The token is intended as a utility token for use within the FNDM ecosystem
• The token is NOT an investment vehicle and should not be purchased with expectation of profit
• There is no guarantee of token value, liquidity, or returns
• Token distribution and conversion rates are subject to change
• Token features will be subject to applicable laws and regulations

Any token-related features will be subject to separate terms and regulatory compliance requirements.

7. Lottery & Games

The FNDM seat lottery and games are provided for entertainment purposes only:

• No purchase is necessary to participate
• Winners are selected through random, automated processes
• Prizes consist of FNDM Points, which have no cash value
• The lottery is void where prohibited by law
• We reserve the right to modify or discontinue games at any time
• Game results are final and not subject to appeal

8. Social Media Integration

FNDM may integrate with social media platforms, including X (Twitter):

• We may publicly announce lottery winners on social media
• Only your first name will be used in announcements; no personal details are shared
• You may opt out of winner announcements in your account settings
• Social media posts are subject to the respective platform's terms of service

9. Wallet Connection & NFT Verification

FNDM allows you to connect a Solana wallet to verify NFT ownership for community benefits. By connecting your wallet, you acknowledge and agree:

• No Private Key Access: FNDM never has access to your private keys, seed phrases, or the ability to initiate transactions on your behalf.
• Public Information: Your wallet address is public information on the blockchain. We store it only to verify your NFT ownership.
• Your Responsibility: You are solely responsible for the security of your wallet. FNDM is not liable for any loss of cryptocurrency, NFTs, or other digital assets.
• Verification Accuracy: NFT verification is based on blockchain data at the time of verification. If you transfer an NFT, your verification status and associated benefits may be revoked.
• Disconnect Anytime: You may disconnect your wallet at any time from your profile settings.

DISCLAIMER: FNDM IS NOT RESPONSIBLE FOR ANY LOSSES RELATED TO YOUR WALLET, INCLUDING BUT NOT LIMITED TO HACKS, PHISHING ATTACKS, LOST KEYS, OR FAILED TRANSACTIONS. CONNECTING YOUR WALLET IS ENTIRELY AT YOUR OWN RISK.

10. Prohibited Conduct

You agree not to:

• Use cheats, bots, scripts, or automated tools
• Create or maintain multiple accounts
• Harass, abuse, or threaten other users
• Attempt to manipulate game outcomes or points
• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any illegal purpose
• Impersonate any person or entity
• Interfere with the proper functioning of the Service

Violation of these rules may result in immediate account termination and forfeiture of all points.

11. Intellectual Property

All content, features, and functionality of the Service are owned by FNDM and are protected by intellectual property laws:

• The FNDM name, logo, and branding are our trademarks
• You may not use our trademarks without written permission
• Game content, designs, and mechanics are our proprietary property

By submitting any content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

• We do not guarantee the accuracy of flight information displayed in the app
• We are not affiliated with any airline, airport, or aviation authority
• We do not guarantee continuous, uninterrupted access to the Service
• Flight data is provided by third-party services and may contain errors
• Always verify flight information with your airline or airport

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FNDM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruptions
• Missed flights or travel disruptions
• Any damages arising from your use of the Service

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

Informal Resolution First

Before filing any legal claim against FNDM, you agree to contact us at support@fndm.app and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

Binding Arbitration

If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Arbitration shall take place in Florida, or remotely via video conference at your election.
• The arbitrator's decision shall be final and binding.
• Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND FNDM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or unauthorized access to the Service.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@fndm.app within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FNDM Ventures, LLC regarding your use of the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by FNDM.

Assignment

We may assign or transfer our rights and obligations under these Terms without restriction. You may not assign or transfer your rights without our prior written consent.

Notices

We may provide notices to you via email, in-app notification, or by posting on the Service. You may provide notices to us at support@fndm.app.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page
• For material changes, we may notify you via email or in-app notification
• Your continued use of the Service after changes constitutes acceptance
